Overview
Valecrest Holdings was entering a strategic partnership with another established property group to develop a major mixed-use project. The commercial opportunity was significant, but the initial agreement left several important responsibilities insufficiently defined.
Lawful was brought in to strengthen the contractual framework, clarify obligations, and help both parties establish a more sustainable foundation for the partnership.
Challenge
The preliminary agreement outlined the broad commercial relationship but did not adequately address several operational and financial responsibilities.
There were also areas of uncertainty around decision-making authority, project obligations, liability, and the circumstances under which either party could exit the arrangement.
Both businesses wanted to preserve the commercial relationship while reducing the possibility of future disagreements caused by unclear contractual terms.
Solution
Lawful reviewed the proposed partnership structure and identified the areas requiring greater contractual clarity and protection.
We developed and negotiated revised provisions covering responsibilities, decision-making, financial commitments, liability, confidentiality, and termination rights.
Our team worked closely with Valecrest’s leadership throughout negotiations, translating complex legal considerations into practical commercial decisions while keeping the broader relationship in focus.

The Results
The finalized agreement provided both parties with a clearer understanding of their responsibilities and established stronger protections for the project.
Results included:
Clearly defined contractual obligations
Stronger commercial protections
Improved decision-making framework
Reduced areas of contractual uncertainty
“Lawful understood both the legal details and commercial priorities, helping us establish an agreement that worked for everyone.”
